Awake Organics UK Affiliate Programme Terms of Service

Please read these Terms carefully before participating in the Awake Organics Affiliate Programme. By joining the programme via Awin, you agree to be bound by these Terms in full. These Terms form an agreement between you (the Affiliate) and Awake Organics Ltd (the Brand). Awin facilitates tracking and payments but is not a party to this agreement.

Questions or requests for consent should be directed to Awake Organics.

1. Acceptance

By joining the programme, you agree to all clauses herein. Acceptance does not constitute permission to begin marketing activity. Before publishing any promotional content, you must obtain explicit written consent from Awake Organics Ltd covering:

• Channels, placements, and duration of activity
• Target audiences and demographics
• Creative assets (ad copy, images, video, etc.)
• GDPR compliance measures where relevant

Any breach of these Terms shall result in all pending, approved, or paid commissions being declined, reversed, or reclaimed. You will bear all costs associated with remedying a breach and waive the right to challenge any breach determination through Awin.

2. Marketing Consent & Brand Standards

You must not conduct any marketing or promotional activity without prior written consent from Awake Organics Ltd. Acceptance into the programme is not permission to promote.

You are solely responsible for ensuring all materials meet Awake Organics' brand standards. All creative assets must be pre-approved before publication. Awake Organics Ltd may revoke consent at any time — you must cease all promotional activity immediately upon notice.

3. Representation & Conduct

You must represent Awake Organics professionally and avoid any activity that could portray the brand negatively or mislead consumers.

If you engage third parties to promote on your behalf, you are fully liable for their actions. You must disclose their identities and activity in advance and ensure they comply with these Terms.

4. Prohibited Practices

The following are strictly forbidden and will result in immediate termination and full commission reversal:

• Bots, click fraud, cookie stuffing, spoofing, or fraudulent traffic generation
• Malicious software, scraping tools, toolbars, or code harvesting
• Promotion of unapproved voucher codes, discounts, or incentives
• Cashback combined with coupons or unapproved incentive stacking
• Unauthorised PPC bidding on Awake Organics brand terms, misspellings, or variations
• Email campaigns using non-GDPR-compliant data
• Any marketing published without prior written consent

5. Cashback, Coupons & Vouchers

Voucher and discount code publishers are not allowed to join or promote this programme unless explicitly authorised.

6. Paid Advertising (PPC, Display & Shopping)

• No bidding on Awake Organics brand terms or variations without written consent
• No direct linking to the Awake Organics website from PPC ads
• Display and retargeting activity must be pre-approved with full transparency
• CSS, Google/Bing Shopping, or comparison placements require separate written consent

7. Content & Reviews

All content featuring Awake Organics must represent the brand accurately. You must clearly disclose your affiliate relationship in line with ASA guidelines (e.g. #ad, #affiliate). Negative reviews require prior written consent before publication.

You must not make medical or health claims about Awake Organics products beyond those explicitly approved in writing.

8. Product Samples & Gifts

Where Awake Organics provides products or samples for promotional purposes, you must publish agreed content within 14 days of receipt. Failure to do so may result in being invoiced for the full RRP value of products received, payable within one working day of written notice.

9. Payments & Insertion Orders

All commission payments are processed via Awin. Where an Insertion Order (IO) is agreed, invoices must be raised within 90 days of the end of the relevant activity — requests beyond this window will not be honoured.

Awake Organics Ltd reserves the right to decline, reverse, or reclaim commissions where a breach of these Terms has occurred. Payment obligations exist solely between you and Awake Organics Ltd. Awin is not liable for any payment disputes.

10. Disputes

Transaction disputes must be submitted in writing with supporting evidence within 5 working days of a sale being declined in Awin. Awake Organics Ltd's decision will be final. You waive the right to challenge declined transactions through Awin or any third party.

11. Termination

Awake Organics Ltd may terminate your participation at any time, with or without notice, in the event of a change of heart, breach of terms, or where your activity is deemed harmful to the brand. Obligations incurred prior to termination survive this agreement, including outstanding commission reversals.

12. Enforcement & Interpretation

Non-enforcement of any clause does not imply waiver. Awake Organics Ltd reserves the right to enforce any term at any time, including retroactively. Any ambiguity, omission, or typographical error cannot be used to justify a breach — when in doubt, seek written clarification before acting.

13. Governing Law

These Terms are governed by the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the English courts.
